1. Acceptance of Terms

By accessing or using the Nohuman Studio platform, API, website (nohuman.studio), or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Services.

2. Description of Services

Nohuman Studio provides audio AI APIs including text-to-speech synthesis, voice cloning, speech recognition/transcription, and agentic AI voice capabilities. Services are accessed via API keys issued through your account dashboard.

3. Account Registration

To use the Services, you must:

Provide accurate and complete registration information

Maintain the security of your account credentials and API keys

Be at least 18 years of age or the age of majority in your jurisdiction

Promptly notify us of any unauthorized use of your account

You are responsible for all activity that occurs under your account, including API usage by any application or service using your API keys.

4. API Usage Terms

API keys are non-transferable and must not be shared publicly or embedded in client-side code.

You must comply with the rate limits and usage quotas associated with your plan.

We reserve the right to throttle or suspend access if usage patterns suggest abuse, fraud, or violation of these terms.

API responses (generated audio, transcriptions) are owned by you, subject to the restrictions in these terms.

You may not use the API to reverse-engineer, extract, or replicate our models or model weights.

5. Acceptable Use

You agree not to use the Services to:

Generate audio that impersonates real individuals without their explicit consent

Create deepfakes, disinformation, or content designed to deceive

Harass, threaten, defame, or harm any person

Violate any applicable law, regulation, or third-party rights

Distribute malware or engage in any activity that compromises system security

Resell or sublicense API access without written authorization

Use automated means to scrape, crawl, or extract data from our platform beyond normal API usage

6. Billing and Payments

Subscription plans are billed in advance on a monthly basis.

API credits included in your plan do not roll over to the next billing period.

Overage charges are billed at the pay-as-you-go rates listed on our pricing page.

All fees are non-refundable except as required by applicable law.

We may change pricing with 30 days advance notice. Continued use after price changes constitutes acceptance.

Failed payments may result in service suspension. You are responsible for keeping payment information current.

7. Intellectual Property

The Services, including all software, models, documentation, and branding, are owned by Nohuman Studio and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Services in accordance with these terms. Audio content you generate through the API is owned by you, provided your use complies with these terms.

8. Service Availability

We target 99.9% uptime for paid plans and 99.99% for Enterprise plans, as detailed in our SLA. However, we do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide reasonable advance notice for scheduled maintenance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOHUMAN STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Termination

Either party may terminate this agreement at any time. You may cancel your subscription from your account dashboard. We may suspend or terminate your access immediately if you violate these terms. Upon termination, your right to use the Services ceases, and we may delete your account data after a 30-day grace period.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or a prominent notice on our website at least 30 days before they take effect. Your continued use of the Services after changes constitutes acceptance.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Delaware.
